John Deere Credit in Johnston, Iowa is looking for an Assistant Chief Counsel to deliver advice to clients on matters of substantial magnitude. May provide work direction or supervision of lower level attorneys or support positions. Knows the law of general practice areas; implements an agreed upon conclusion and drafts unique documents to include all agreed upon provisions. Has broad knowledge of the industry and geographic markets as they relate to the practice area; assists in developing strategy. Acts effectively in the absence of clear legal precedent. Primarily responsible for substantial client in career subject area. Thoroughly incorporates a basic understanding of the practical applications of the law in counseling clients and taking action. Has sufficient knowledge of the Enterprise to anticipate the impact of legal issues/advice in one area of the Company on another area of the Company. Anticipates potential issues by watching trends in the law and understanding possible implications to the business. Participates with peers in the client organization to set company policy. Effectively evaluates & communicates levels of risk for alternative actions. Provides recommended actions and alternatives to achieve business goals/objectives. Major Duties Provides research, legal and/or Intellectual Property counsel, recommendations, and alternatives for the more complex legal questions and issues. Drafts, negotiates, and/or files legal briefs and documents including, opinions, contracts, notices, agreements, registrations, and licenses. Develops and executes training on legal matters to groups of various sizes to improve efficiency and ensure compliance with various agency requirements. Stays current on emerging trends in the law through continuing legal education, reading, professional conferences, and participating in professional associations. Position-specific Duties Delivers advice to clients on matters of substantial magnitude in several areas requiring broad knowledge, including and supply management. Must be able to thoroughly incorporate a basic understanding of the practical applications of the law in counseling clients and taking action. Needs to develop knowledge in several areas of the Enterprise to be able to anticipate the impact of legal issues/advice on other areas of the Enterprise. Participates with peers in the client organization to set company policy. Must be able to takes a leadership role in determining courses of action consistent with the company's objectives and expert knowledge of the law in the relevant area. Represents the Company in negotiating business transactions with third parties and their counsel to reach agreement on business transactions particularly in the areas of supply management. Manage related litigation and commercial matters to ensure the Company's legal rights are pursued and achieved. Works closely with senior management to evaluate the legal impact of major decisions. Position-specific Qualifications BA/BS degree. JD degree from an accredited law school licensure or registration in Iowa (existing or to be obtained). Minimum of 3 years experience in commercial financial transactions. Excellent teamwork, communication and interpersonal skills. Knowledge of compliance within areas of specialization and responsibility. Legal knowledge and understanding. Understands legal issues affecting area of responsibility, able to identify issues associated with assigned tasks, and able to spot ethical issues in practice. Ability to perform legal research using the Internet plus various on-line tools and CD-ROM programs. Skill in interpersonal communications, negotiation, and conflict resolution. Effective writing skills, including grammatical usage, persuasive copy and style. Experience Significant experience in the overall corporate legal environment. Experience in the general practice of law in a private law firm or corporate law department. Significant prior experience planning, executing and advising on complex transactions in an area of specialization, such as financial services, supply management, etc.
